The corporate structure of McGraw Hill has evolved substantially over the past three decades, shifting away from legacy media conglomerates into private equity management.

In 2012, McGraw-Hill announced plans to split its publishing arm from its financial analytics division. The parent firm rebranded as S&P Global, focusing on markets and credit ratings, while divesting its education assets. In March 2013, private equity titan Apollo Global Management acquired McGraw-Hill Education for $2.4 billion in cash.

Under private ownership, the company accelerated its transition toward digital platforms, learning management systems, and subscription models like McGraw Hill Connect. In July 2021, Apollo sold McGraw Hill to Platinum Equity, a Los Angeles-based private equity firm founded by Tom Gores, in a transaction valued at $4.5 billion.

Today, McGraw Hill operates as an independent private portfolio company owned by Platinum Equity. Neither the estate of Robert Maxwell, nor Ghislaine Maxwell, nor any Maxwell family trust has any financial, managerial, or advisory connection to the business.
